Welcome to Ragulus USA. These Terms of Service ("Terms") govern your access to and use of our cloud-based field service management platform and related services (collectively, the "Service") operated by Ragulus USA ("we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

We reserve the right to modify, update, or change these Terms at any time. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. We will notify you of material changes by posting the new Terms on this page and updating the "Last Updated" date.

2. Description of Service

Ragulus USA is a cloud-based software-as-a-service (SaaS) platform designed for field service businesses. Our Service provides tools and features for:

Schedule and job management
Client and contact management
Estimates and invoicing
Financial tracking and reporting
Telephony and communication (calls, SMS, chat)
Document management and templates
Team and technician management
Analytics and business intelligence

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We do not guarantee that the Service will be available at all times or that it will be error-free.

3. Account Registration and Security

To use our Service, you must create an account. When you register, you agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security and confidentiality of your password
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account or any other breach of security
Ensure that you are authorized to bind your company to these Terms if you are registering on behalf of an organization

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to use a strong password and enable two-factor authentication when available.

We reserve the right to suspend or terminate your account if we suspect any unauthorized access or violation of these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

Use the Service for any illegal purpose or in violation of any applicable laws or regulations
Violate or infringe upon the rights of others, including intellectual property rights
Transmit, upload, or distribute any viruses, malware, or other harmful code
Attempt to gain unauthorized access to the Service, other accounts, or computer systems
Use automated systems (bots, scrapers) to access the Service without our express written permission
Collect or store personal data of other users without their consent
Use the Service to send spam, phishing emails, or engage in any fraudulent activity
Interfere with or disrupt the Service or servers connected to the Service
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service to compete with us or to build a competing product
Share your account credentials with others or allow unauthorized access to your account

We reserve the right to investigate violations of these Terms and may involve law enforcement authorities in prosecuting users who violate these Terms.

5. User Content and Data

You retain all ownership rights to the data, content, and information you upload, create, or store in the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to use, store, and process your User Content solely for the purpose of providing and improving the Service.

You are solely responsible for all User Content. You represent and warrant that:

You have all necessary rights and permissions to use and store the User Content
The User Content does not violate any laws or infringe upon any third-party rights
The User Content is accurate and not misleading

We reserve the right to remove, edit, or refuse to process any User Content that violates these Terms or applicable laws, without prior notice.

You acknowledge that we may access, preserve, and disclose your User Content if required to do so by law or in a good faith belief that such access, preservation, or disclosure is reasonably necessary to comply with legal process or protect the rights, property, or safety of us, our users, or the public.

6. Intellectual Property Rights

The Service and all content, features, and functionality, including but not limited to software, text, graphics, logos, icons, images, audio clips, digital downloads, and data compilations, are owned by Ragulus or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms. This license does not include any right to:

Resell or commercially use the Service
Copy, modify, or create derivative works of the Service
Use data mining, robots, or similar data gathering and extraction tools
Remove any copyright, trademark, or other proprietary notices

All rights not expressly granted to you are reserved by Ragulus and its licensors.

7. Billing and Payment Terms

Some features of the Service require payment. By subscribing to a paid plan, you agree to:

Pay all fees associated with your selected subscription plan
Provide accurate and complete billing information
Authorize us to charge your payment method for all fees
Understand that all fees are non-refundable except as required by law or as explicitly stated in these Terms

Subscription Plans: Subscriptions are billed on a recurring basis (monthly or annually) and automatically renew unless you cancel before the end of the current billing period. You may cancel your subscription at any time through your account settings.

Price Changes: We reserve the right to change our pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.

Payment Processing: Payments are processed through third-party payment processors (such as Stripe). You agree to comply with their terms and conditions.

Refunds: Refunds are provided only as required by law or at our sole discretion. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period.

8. Data Backup and Availability

While we make commercially reasonable efforts to ensure the availability and security of your data, we do not guarantee that the Service will be available at all times or that data will not be lost. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

We recommend that you regularly export and maintain backups of your important data. We are not responsible for any loss of data that may occur due to technical failures, human error, or other unforeseen circumstances.

We implement industry-standard security measures, including encryption, access controls, and regular security audits. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

9. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

The Service will be uninterrupted, secure, or error-free
The Service will meet your specific requirements or expectations
Any defects or errors will be corrected
The Service is free of viruses or other harmful components

You use the Service at your own risk. We are not responsible for any loss of data, business interruption, or other damages resulting from your use of or inability to use the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RAGULUS, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of profits, revenue, data, or business opportunities
Business interruption
Loss of goodwill or reputation
Cost of substitute services
Any other intangible losses

Our total liability to you for any claims arising out of or relating to the use of the Service shall not exceed the amount you paid us for the Service in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Ragulus, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Your User Content

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, for any reason, including but not limited to:

Violation of these Terms
Non-payment of fees
Fraudulent or illegal activity
Request by law enforcement or government agencies
Extended periods of inactivity

You may terminate your account at any time by deleting your account through your account settings or by contacting us at support@ragulus.com.

Upon termination:

Your right to access and use the Service will immediately cease
We may delete or anonymize your data in accordance with our data retention policies
All outstanding fees remain due and payable
Provisions that by their nature should survive termination will remain in effect

13. Third-Party Services

The Service may integrate with or link to third-party services, including but not limited to:

Payment processors (Stripe)
Telephony services (Ragulus phone)
Cloud infrastructure providers (Supabase)
Other third-party applications

Your use of third-party services is subject to their respective terms and conditions and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

You agree to waive any right to a jury trial and to participate in a class-action lawsuit.

15. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Ragulus regarding the Service and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
